1 - Scope of Apllication
These General Conditions of Sale govern commercial relations between SIENAVE - Sienitos do Algarve, Lda and the COSTUMER, and apply to all sales of products ordered by the Customer.
Any agreements in writting signed between the parties for the same purpose shall prevail over these General Conditions of Sale, and the principles set out herein shall apply where such agreements are silent.
Any amendment to this document shall only be valid where made in writting by Sienave.
2 - Orders
The Customer must place orders in writting, which will only be deemed definitively accepted following confirmation in writting by Sienave.
Unless otherwise agreed, the customer undertakes to pay 30% of the value of the order by way of advance.
3 - Delivery Dates
The dates of delivery or supply of the product ordered are notified to the customer purely for information, and Sienave will not be liable for any penalty in the event of delay in such delivery or supply. Sienave reserves the right to supply and invoice products in stages.
4 - Transport
All products are transported at the customer’s risk and expense unless otherwise agreed in writting.
5 - Liability
It is expressly agreed that Sienave will bear no liability for direct or indirect losses or damage caused or suffered by the supplied products, including those resulting from defective application/installation, use, cleaning or maintenance.
The products sold by Sienave are of natural stone and may therefore be subject to variations in colour, texture and appearance. Sienave will bear no liability for their physical and mechanical behaviour.
6 - Claims
All deliveries should be inspected immediately by the customer and any defects should be notified in writing to Sienave within 8 days of the date of delivery.
No claims will be entertained after the products have been applied/installed.
7 - Preços
All sales are made EX-WORKS.
Prices are subject to change, in whole or in part, without notice.
8 - Retention of Ownership
Pursuant to Article 409, paragraph 1 of the Civil Code, Sienave shall retain ownership of the products until full payment for them has been made.
9 - Payment
The payment terms are stated on the invoice. Unless otherwise stated, all invoices are payable on sight.
The due dates of invoices are calculated from the date of issue of the invoice.
Failure to pay on the due date shall result in the loss by the customer of any discounts to which he may be entitled.
In the event of late payment, the amount in arrears will attract interest at the maximum official rate prescribed in law (Article 102 of the Commercial Code).
10 - Acceptance of Conditions of Sale
The placing of an order implies full acceptance of the conditions of contract stipulated herein.
11 - Jurisdiction
In the event of any dispute, the competent court will be decided by Sienave. |
